Gameday Pools LLC, doing business as Gameday Pools, and as applicable, its subsidiaries and affiliates (collectively, "Gameday Pools," "we," "our," or "us") owns and operates the website located at www.gamedaypools.com and related services through which we offer sports prediction contests, organization challenges, leaderboards, community engagement tools, prize administration tools, and related products and services (collectively, the "Services"). Before accessing or using the Services, please read these Terms of Service and any additional rules, guidelines, notices, or conditions made available by Gameday Pools (collectively, the "Terms") carefully.
THESE TERMS CONTAIN DISCLAIMERS OF WARRANTIES, DISCLAIMERS OF LIABILITY, A BINDING ARBITRATION CLAUSE, AND A CLASS ACTION WAIVER THAT AFFECT YOUR RIGHTS FOR RESOLVING ANY DISPUTE WITH US. THESE TERMS ALSO INCLUDE AN INDEMNIFICATION PROVISION THAT MAKES YOU RESPONSIBLE FOR CERTAIN LOSSES. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE THE SERVICES.
By creating an account, joining an Organization Challenge, submitting picks, uploading content, or otherwise accessing or using the Services, you agree to be bound by these Terms, our Privacy Notice, and all applicable rules that may be published through the Services.
We reserve the right, at our sole discretion, to make changes to these Terms at any time. If we supplement, supersede, or make changes to these Terms, the amended Terms will be posted and will take effect immediately unless otherwise stated. You are responsible for reviewing and becoming familiar with any changes. Your continued use of the Services after changes are posted constitutes your acceptance of the Terms as amended.
1 THESE TERMS
1.1 You represent and warrant that you have the legal right and ability to agree to these Terms and that you have read, understood, and agree to be legally bound by them.
1.2 The Services are intended for entertainment, community engagement, and sports prediction purposes. The Services are not intended to provide gambling, wagering, betting, investment, financial, legal, or professional advice.
1.3 If additional contest rules, organization rules, prize rules, or challenge-specific terms apply to a competition, those rules are incorporated into these Terms for that competition. If there is a conflict between these Terms and challenge-specific rules, the challenge-specific rules control only for that challenge and only to the extent of the conflict.
2 USING THE SERVICES
2.1 You may need to create an account to access some or all of the Services. You agree to provide accurate, current, and complete information about yourself and to maintain and promptly update your account information. Only one (1) account per verified person is permitted unless we expressly authorize otherwise. Your account is unique to you and non-transferable. You may not co-own, sell, share, assign, or otherwise transfer your account.
2.2 You are responsible for maintaining the confidentiality of your account, including protecting your login credentials and restricting access to your devices. You accept responsibility for all activities that occur under your account or from your devices. If you believe someone is using your account without permission, contact us immediately.
2.3 You agree to provide an email address that you regularly access. Gameday Pools may use your email address to verify eligibility, confirm organization membership, distribute prizes, communicate competition updates, provide account notices, and send other operational communications related to the Services.
2.4 You consent to transact with us electronically and receive legal notices and other communications electronically, including by email, text message, push notification in accordance with your device settings, in-app message, or notices posted through the Services. Any requirement that a communication be sent to you in writing is satisfied by electronic communication.
2.5 By creating an account or joining an Organization Challenge, you consent to receive emails and other electronic communications related to your account, competitions, standings, reminders, prizes, announcements, and other operational communications necessary for participation in the Services. These communications are considered part of the Services and may not be opted out of while you remain an active participant in a competition, except where required by applicable law.
2.6 Gameday Pools reserves the right to modify, suspend, or discontinue the Services, including the availability of any feature, content, contest, challenge, leaderboard, prize, or game variant, temporarily or permanently, at any time and for any reason. Gameday Pools is not liable to you or any third party for any modification, suspension, or discontinuation of the Services.
3 AGE REQUIREMENT AND ELIGIBILITY
3.1 You must be at least 18 years old, or the age of majority in your jurisdiction, unless participation is expressly permitted by the sponsoring organization and applicable law.
3.2 You are responsible for making sure your use of the Services and participation in any challenge is lawful and permitted by any rules that apply to you, including rules of your employer, school, residence, association, or sponsoring organization.
3.3 We may refuse, suspend, remove, or disqualify any participant who does not meet applicable eligibility requirements, violates these Terms, attempts to manipulate the Services, or otherwise acts in a manner we determine is unfair, abusive, disruptive, or inconsistent with the purpose of the Services.
4 ORGANIZATION CHALLENGES
4.1 "Organization Challenges" are competitions, leaderboards, events, or related experiences sponsored, administered, promoted, or facilitated by a third-party organization, such as an employer, residential community, campus group, office, department, association, venue, brand, or other community.
4.2 Eligibility. By joining an Organization Challenge, you represent that you are authorized to participate in that challenge. Eligibility may depend on your relationship with the sponsoring organization, your email domain, invitation status, residence, unit number, department, office location, membership status, employment status, age, or other challenge-specific criteria.
4.3 Verification. We reserve the right to verify your eligibility, including by confirming information with the sponsoring organization or requesting additional information or documentation from you. We may suspend, remove, disqualify, or limit participants who cannot be verified or who provide inaccurate, incomplete, or misleading information.
4.4 Display of Participant Information. By joining an Organization Challenge, you acknowledge and agree that certain profile and competition information may be displayed to other authorized participants within your organization's competition. This may include your display name, first name, last initial, profile photo, unit number, floor, department, office location, residence designation, organization affiliation, scores, rankings, picks, prize status, and other competition-related information. This information will only be displayed to participants within the applicable organization unless otherwise stated in the challenge rules, Services, or applicable notices.
4.5 Organization Leaderboards. Organization Challenge leaderboards are intended to encourage friendly competition and community engagement. Leaderboard results may change as games are scored, corrected, updated, or finalized. We may correct errors, adjust scores, remove ineligible participants, or revise rankings when we determine that doing so is necessary to administer the challenge fairly.
4.6 Organization Administrators. Sponsoring organizations may designate administrators or authorized representatives who can access certain participation information, configure challenge settings, publish announcements, review leaderboard activity, assist with verification, and support prize administration. Organization administrators are responsible for using the Services and participant information in accordance with applicable law, their own policies, and any agreement they have with Gameday Pools.
4.7 Data Sharing With Organizations. We may provide sponsoring organizations with information related to participation in their Organization Challenge, including participant names, email addresses, registration status, eligibility or verification status, participation activity, picks or submission activity, leaderboard position, prize eligibility, and engagement metrics necessary to administer, measure, promote, or support the competition.
4.8 Sponsor Relationship. Organization Challenges are sponsored or facilitated by third-party organizations. Unless expressly stated otherwise, Gameday Pools is an independent technology provider and is not an employee, agent, affiliate, partner, joint venturer, or representative of the sponsoring organization.
4.9 Organization Communications. Sponsoring organizations may publish announcements, event information, promotions, prize details, sponsor messages, or community messages through the Services. Gameday Pools is not responsible for the content, accuracy, legality, quality, or availability of organization-provided communications.
4.10 Organization Content. Organization names, logos, trademarks, images, announcements, promotions, and other materials made available through an Organization Challenge may be provided by the sponsoring organization or other third parties. We may display that content in connection with the applicable challenge, but we do not claim ownership of third-party organization content except for Gameday Pools materials and platform elements.
4.11 Community Conduct. Organization Challenges are shared community spaces. You agree to act respectfully, avoid harassment, intimidation, impersonation, discrimination, abusive behavior, cheating, manipulation, or conduct that interferes with another participant's experience, and follow any reasonable challenge or organization rules made available to you.
5 PRIZES, WINNER ANNOUNCEMENTS, AND PUBLICITY
5.1 Some competitions may include prizes, rewards, recognition, or other benefits. Prizes may be provided directly by Gameday Pools, the sponsoring organization, or another third party. Prize eligibility, fulfillment, timing, substitution, and availability may vary by competition and may be subject to challenge-specific rules.
5.2 Gameday Pools is not responsible for delays, substitutions, unavailability, non-payment, or failures by sponsoring organizations or third-party prize providers. We may help administer prize information through the Services, but third-party prize providers remain responsible for prizes they offer unless we expressly state otherwise.
5.3 We may require additional information to verify prize eligibility, confirm identity, deliver a prize, or comply with applicable tax, reporting, fraud prevention, or administrative requirements. Failure to provide requested information may result in forfeiture or disqualification.
5.4 Unless prohibited by law, winners authorize Gameday Pools and the sponsoring organization to use their first name, last initial, profile photo, organization affiliation, and competition results for winner announcements and promotional purposes relating to the applicable competition.
6 LICENSE AND INTELLECTUAL PROPERTY
6.1 As between you and us, we own the Services, including all software, text, graphics, tools, links, code, recommendations, interface elements, scoring systems, and other content or materials provided in or through the Services, and all worldwide intellectual property rights in the foregoing.
6.2 We grant you a limited, personal, revocable, non-transferable, non-exclusive license to access and use the Services in accordance with these Terms for your personal, internal, and non-commercial use, as the Services were intended to be used. Except as expressly permitted, you may not copy, reverse engineer, decompile, modify, rent, lease, sell, sublicense, redistribute, adapt, create derivative works based on, or otherwise misuse the Services.
6.3 Any trademark, service mark, copyright, logo, trade name, or similar mark contained in the Services belongs to us, our licensors, sponsoring organizations, or other third parties. Nothing in these Terms grants you the right to use any such marks without permission from the applicable owner.
6.4 If you provide ideas, suggestions, examples, proposals, or other feedback regarding the Services ("Feedback"), you grant Gameday Pools a perpetual, irrevocable, worldwide, royalty-free license to use, publish, disclose, display, copy, modify, commercialize, and otherwise exploit the Feedback without restriction, attribution, or compensation.
7 USER-GENERATED CONTENT
7.1 "User Content" means data, information, images, files, photos, profile photos, display names, comments, picks, submissions, messages, organization logos or materials you are authorized to provide, and other content you submit, upload, post, or make available through the Services.
7.2 You are responsible for your User Content and represent that you have all rights and permissions needed to submit it and allow us to use it as described in these Terms. You agree not to submit User Content that violates these Terms, infringes another person's rights, contains unlawful or harmful material, misrepresents your identity or affiliation, or includes confidential information you are not authorized to share.
7.3 By submitting User Content, you grant Gameday Pools a worldwide, royalty-free, non-exclusive license to host, store, reproduce, display, publish, modify, adapt, transmit, distribute, analyze, and otherwise use that User Content to operate, provide, secure, administer, improve, promote, and support the Services, including Organization Challenges, leaderboards, winner announcements, account features, and related communications.
7.4 By uploading a profile photo, you grant Gameday Pools permission to display the photo in connection with competitions, leaderboards, winner announcements, and other Services provided to Organization Challenge participants.
7.5 We may monitor, review, edit, remove, delete, disable, restrict, or refuse User Content or access to the Services, in whole or in part, at any time and in our sole discretion. We have no obligation to monitor all User Content and are not responsible for User Content submitted by users, organizations, or other third parties.
7.6 Digital Millennium Copyright Act Notice: If you believe material on the Services infringes your copyright, contact us at support [at] gamedaypools [dot] com with identification of the copyrighted work, identification of the allegedly infringing material, your contact information, a statement of good-faith belief, a statement that the information is accurate and that you are authorized to act, and your physical or electronic signature. Counter-notices may be submitted to the same address and must include the information required by applicable law.
8 PROHIBITED CONDUCT
8.1 When accessing or using the Services, you agree that you will not: (a) use the Services for fraudulent, abusive, unlawful, or unauthorized purposes; (b) violate any applicable law, regulation, third-party right, organization rule, or challenge rule; or (c) take any action that is improper, unfair, deceptive, disruptive, or adverse to the operation of the Services or other users. Without limitation, you agree not to:
• Create, or attempt to create, more than one account without authorization;
• Sell, transfer, share, or allow another person to use your account;
• Use an account that does not belong to you;
• Falsify information required to create an account, join a challenge, verify eligibility, or claim a prize;
• Join an Organization Challenge for which you are not eligible or authorized;
• Collude with others, manipulate scoring, submit fraudulent picks, exploit errors, use unauthorized scripts, bots, automation, or other means to cheat or gain an unfair advantage;
• Harass, threaten, impersonate, defame, discriminate against, or abuse another user, organization administrator, sponsor, or Gameday Pools representative;
• Scrape, harvest, copy, monitor, or collect information about users, organizations, challenges, or the Services without authorization;
• Upload viruses, malware, code, files, or programs designed to interrupt, damage, intercept, or limit the functionality of any software, hardware, or telecommunications equipment;
• Remove proprietary notices, circumvent security measures, reverse engineer the Services, or attempt to gain unauthorized access to any account, system, or data;
• Use the Services to send unsolicited communications, spam, or unauthorized promotions; or
• Violate any portion of these Terms.
8.2 If we suspect or learn that you are violating these Terms, we may investigate, suspend or terminate your access, remove you from challenges, void picks or scores, withhold or revoke prizes, notify sponsoring organizations, and take any other action we determine is appropriate.
9 WARRANTIES AND DISCLAIMER
9.1 TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED ON AN "AS IS," "AS AVAILABLE," AND "WITH ALL FAULTS" BASIS. WE DISCLAIM ALL REPRESENTATIONS AND WARRANTIES, EXPRESS OR IMPLIED, STATUTORY OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, TITLE, SATISFACTORY QUALITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE AVAILABLE AT ALL TIMES, ERROR-FREE, SECURE, ACCURATE, COMPLETE, CURRENT, OR SUITABLE FOR YOUR PURPOSES.
9.2 We make no representation or warranty about the accuracy, availability, reliability, completeness, currentness, suitability, or timeliness of any statistics, sports data, contest results, picks, scores, rankings, prize information, organization communications, or other information provided through the Services. Scores, standings, and results may be delayed, corrected, or updated.
9.3 The Services may be unavailable from time to time for technical, maintenance, security, operational, or other reasons. You are responsible for your internet connection, device, carrier, text/SMS, data, and other fees or charges related to your use of the Services.
9.4 The Services may provide links or access to third-party websites, services, payment functionality, organization materials, or sponsor content outside our control. We do not endorse, recommend, or accept responsibility for third-party websites, services, content, privacy practices, data security, or handling of information. Your dealings with third parties are solely between you and those third parties.
10 LIMITATION OF LIABILITY
10.1 Nothing in these Terms limits or excludes any liability that cannot be limited or excluded under applicable law.
10.2 TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, GAMEDAY POOLS WILL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, PUNITIVE, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES ARISING OUT OF OR IN CONNECTION WITH THE SERVICES OR THESE TERMS, INCLUDING DAMAGES RELATING TO USE OR INABILITY TO USE THE SERVICES, SERVICE INTERRUPTION, LOST DATA, INACCURATE PICKS OR SCORES, DELAYED OR INCORRECT RESULTS, PRIZE ADMINISTRATION, ORGANIZATION COMMUNICATIONS, USER CONTENT, THIRD-PARTY CONDUCT, UNAUTHORIZED ACCESS, OR ANY ACTION WE TAKE OR FAIL TO TAKE.
11 INDEMNITY
11.1 You agree to indemnify, release, defend, and hold harmless Gameday Pools and its parents, subsidiaries, affiliates, agencies, officers, directors, employees, contractors, shareholders, representatives, licensors, and service providers from and against any losses, liabilities, expenses, damages, costs, claims, and actions, including reasonable attorneys' fees and court costs, arising out of or relating to your use of the Services, your participation in any challenge, your User Content, your violation of these Terms, your violation of law or third-party rights, your receipt, ownership, use, or misuse of any prize, and any acts or omissions that implicate publicity rights, defamation, privacy, eligibility, verification, or organization rules. Gameday Pools may assume exclusive defense and control of any matter subject to indemnification, and you agree to cooperate with us.
12 TERMINATION AND SUSPENSION
12.1 You may close your account at any time by contacting customer support at support [at] gamedaypools [dot] com.
12.2 We may suspend, change, limit, or terminate these Terms or your access to the Services immediately and without notice for any reason, including your breach of these Terms, a request by law enforcement or government agency, discontinuation or material modification of the Services, technical or security issues, eligibility concerns, verification failure, suspected fraud, or inactivity.
12.3 Termination or suspension may result in loss of access to your account, challenges, picks, scores, rankings, prize eligibility, User Content, and related information.
13 GOVERNING LAW AND MANDATORY ARBITRATION
13.1 PLEASE READ THIS SECTION CAREFULLY BECAUSE IT AFFECTS YOUR RIGHTS. BY AGREEING TO MANDATORY BINDING ARBITRATION, YOU WAIVE YOUR RIGHT TO LITIGATE DISPUTES THROUGH A COURT AND TO HAVE A JUDGE OR JURY DECIDE YOUR CASE. THIS SECTION ALSO INCLUDES A CLASS ACTION WAIVER.
13.2 These Terms shall be governed by and construed in accordance with the laws of the State of Illinois, without regard to conflict of law principles. If any clause or provision of these Terms is found invalid by an authority having competent jurisdiction, the invalidity shall not affect the validity of the remaining clauses or provisions, including the class action waiver. You agree that any arbitration will take place in Illinois.
13.3 Except for disputes that qualify to be heard in small claims court, to the fullest extent permitted by law, all disputes arising out of or related to these Terms or any aspect of the relationship between you and Gameday Pools or any of its affiliates, licensors, or suppliers, whether based in contract, tort, statute, fraud, misrepresentation, or any other theory, will be resolved through final and binding arbitration before a neutral arbitrator instead of in court by a judge or jury.
13.4 You agree that Gameday Pools and you are each waiving the right to trial by jury. Neither you nor we will participate in a class action or class-wide arbitration for any claims covered by these Terms. You also agree not to participate in claims brought in a private attorney general or representative capacity, or consolidated claims involving another person's account, if we are a party to the proceeding.
13.5 To opt out of the arbitration agreement in this section, within thirty (30) days of first using the Services, you must notify Gameday Pools in writing of your intent to opt out. The written notice must include your first and last name and be sent to support [at] gamedaypools [dot] com.
14 GENERAL
14.1 These Terms constitute the entire agreement between you and us relating to their subject matter and supersede all prior agreements, undertakings, representations, warranties, and arrangements of any nature relating to the same.
14.2 Upon termination of your account, your license to use the Services terminates. Provisions that by their nature should survive termination will survive, including provisions relating to intellectual property, User Content licenses, prohibited conduct, disclaimers, limitation of liability, indemnity, arbitration, and general terms.
14.3 The failure of Gameday Pools to comply with any provision of these Terms due to circumstances beyond its reasonable control, including acts of God, natural disaster, pandemic, war, riot, terrorism, labor condition, internet disturbance, power failure, government action, or other force majeure event, will not be considered a breach of these Terms.
14.4 We may develop and provide updates to the Services, including upgrades, bug fixes, patches, corrections, and new features. Updates may modify or delete features or functionality. We have no obligation to provide any updates or continue providing any particular feature or functionality.
14.5 You must not use, export, or re-export the Services contrary to any law of the United States or any other jurisdiction, including the Export Administration Regulations of the United States. You represent that you are not located in a country subject to a United States government embargo or designated as a terrorist-supporting country and are not listed on any United States government list of prohibited or restricted parties.
14.6 We may assign these Terms, in whole or in part, without your consent. You may not assign these Terms without our prior written consent. No failure or delay by us to exercise or enforce any right under these Terms will be deemed a waiver. If any term is held invalid, void, or unenforceable, the remainder of these Terms will remain valid and enforceable.
